ARTICLE I - TITLE and PURPOSES
Section 1. This Corporation is designated, and shall be known as, "The Woodlawn Sportsmen's Club, Inc."
Section 2. This Corporation is formed for these purposes:
a) to further the propagation and conservation of game and nongame mammals, fish and birds;
b) to encourage the enactment, and support the enforcement, of beneficial fish and game laws;
c) to secure the repeal of laws detrimental to the maintaining of viable wildlife populations, and to scientifically managed hunting, fishing, and trapping;
d) to promote prevention of soil erosion, encourage the reforestation of abandoned land, and the conservation of natural resources;
e) to encourage and instruct responsible persons in the safe and proper use of firearms and archery equipment;
f) to sponsor, supervise, and arrange public exhibitions of the field and stream sports, and conduct shooting matches; and
g) to steadfastly oppose legislation which encroaches upon the Second Amendment guaranteed right of the people to possess and use smallarms for self-defense and recreation.
ARTICLE II - OFFICERS and ELECTIONS
Section 1. The Officers of this Club shall consist of a President, First Vice President, Second Vice President, Recording Secretary, Corresponding Secretary, Financial Secretary, Treasurer, Sergeant at Arms, and five Directors.
Section 2. All Officers except the Corresponding Secretary and three Directors shall be elected annually. The Corresponding Secretary shall serve a 2-year term of office. Three of the five Directors shall serve 3-years terms, each such 3-year Director being elected in successive years.
Section 3. If more than two candidates for a specific office receives votes, but none receives a majority of the votes cast, the two candidates who received the highest number of votes shall be retained on the ballot for a second vote, in which votes cast for other than the two candidates shall be null and void.
Section 4. In the scheduled October Members Meeting, the President shall appoint a Nominating Committee which will report its nominations for office during the November Members Meeting. Other nominations may be made from the floor in the December Members Meeting, by any member who is in at least 12-months good standing.
Section 5. Election of Officers shall take place in the December Members Meeting. Officers-elect shall take office on January 1 following.
Section 6. Should a Club Office become vacant, the President shall appoint a temporary Officer. In the next scheduled Members Meeting, nominations to that office may be made by any member in 12-months good standing, and a special election shall be held at the next scheduled Members Meeting.
Section 7. All elections of Club Officers shall be by secret ballot, except when a candidate is unopposed the Recording Secretary shall cast one ballot.
Section 8. The President shall appoint three members-in-good-standing to serve as election tellers, who shall receive and count all ballots in the presence of the members in attendance. There shall not be "Absentee Ballots."
Section 1. The following Standing Committees shall be appointed by the President, after conferring with the other Club Officers, before adjournment of the scheduled February Members Meeting.
- Membership Applicant Investigating Committee, consisting of three members-in-good-standing, of whom the First Vice President shall be one.
- Law and Legislative Committee, consisting of three members-in-good-standing, of whom the Corresponding Secretary shall be one.
- Publicity Committee, consisting of three members-in-good-standing, of whom the Second Vice President shall be one.
- Conservation Committee, consisting of three members-in-good-standing, of whom one shall be a Conservation Council member, if possible.
- Welfare Committee, consisting of three members-in-good-standing.
- House Committee and Buildings and Grounds Committee, each consisting of three members-in-good-standing, of whom the chairperson shall be of 12-months good standing.
- Range Committee, consisting of a Club Rangemaster and other members representing Archery, Pistol, Rifle, and Shotgun activities, all of whom shall be in 12-months good standing.
Section 2. Special Committees to be appointed by the President are:
- Auditing Committee, consisting of three members-in-good-standing;
- Nominating Committee, consisting of three members in 12-months good standing;
- Special Range Use Committee, consisting of three members-in-good-standing, of whom one shall be the Club Rangemaster.
Section 3. Newly accepted members shall be assigned to Standing Committees by the President, in consultation with the several Committees' chairpersons, and in consideration of new member's expressed interests.
The President shall preside at all Officers and Members Meetings, and at Special Meetings called as provided in the By-Laws. The President shall appoint to all Standing and Special Committees, and enforce observance of the Club's Constitution, By-Laws, and Rules. In the absence of the Recording Secretary, the President shall appoint a member to temporarily perform those duties. The President shall be an ex-officio member of all committees except the Auditing and Nominating Committee.
ARTICLE V - THE FIRST VICE PRESIDENT
The First Vice President shall, in the absence of the President, preside at scheduled and special meetings, and perform such other duties of the President as may be necessary at the time. The First Vice President shall serve as the Chairperson of the Membership Applicant Investigating Committee.
ARTICLE VI - THE SECOND VICE PRESIDENT
The Second Vice President shall, in the absence of the President and the First Vice President, preside at scheduled and special meetings, and perform such other duties of the President and the First Vice President as may be necessary at the time. The Second Vice President shall serve as the Chairperson of the Publicity Committee, and shall compose the Club newsletter and deliver copy thereof for printing and distribution.
ARTICLE VII - THE CORRESPONDING SECRETARY
The Corresponding Secretary shall reply to all correspondences received by the Club, and initiate correspondence with outside agencies and persons, and with individual Club members as directed by the Club Officers or membership vote. The Corresponding Secretary shall deliver all correspondence, or copies thereof, to a duly elected or appointed successor of the office. The Corresponding Secretary shall serve as the Chairperson of the Law and Legislative Committee.
ARTICLE VIII - THE RECORDING SECRETARY
The Recording Secretary shall enter into a bound journal, a detailed record of the proceedings of all Officers, Members, and Special Meetings; shall read the record of the preceding meeting during each meeting, and shall make such additions and/or corrections to the record as are directed by the members in attendance. The Recording Secretary shall maintain the journal in good order and deliver it, and any attendant materials, to a duly elected or appointed successor to the office. The Recording Secretary shall deliver to the Treasurer a written order for the expenditure of Club funds as may be voted by the membership.
ARTICLE IX - THE FINANCIAL SECRETARY
The Financial Secretary shall collect all dues, assessments, and fines, keeping accurate records of such, and immediately transfer such monies to, and receive receipt for from, the Treasurer. The Financial Secretary shall keep current membership rolls, which shall include the financial standing of each member. The Financial Secretary shall within 10 days notify each newly accepted member, and provide each with a Club membership card, insignia, and personal Clubhouse access code. During March of each year the Financial Secretary shall attempt to contact each member who has not paid current dues, assessments, or fines, reminding of the April 1 deadline, and ascertaining the member's intentions. Between April 1 and the April Meeting, the Financial Secretary shall remove form the rolls all delinquent members and revoke their means to access the Club.
The Treasurer shall deposit to the proper accounts all funds received, draw on those accounts for routine expenditures and those directed by the members, keep accurate records of all receipts and expenditures, and submit a report of the same in each Officers and Members Meeting, and in such Special Meetings as concern finances. The Treasurer shall submit the books semiannually to the Auditing Committee, and deliver the books and attendant materials, in good order, to a duly elected or appointed successor.
ARTICLE XI - The Sergeant at Arms
The Sergeant at Arms shall introduce new members to the members assembled in a scheduled meeting. The Sergeant at Arms shall, on order of the presiding officer, escort from meetings any disorderly member. The Sergeant at Arms shall oversee the security of Club property.
The Directors shall oversee the general management of Club affairs.
ARTICLE XIII - APPLICANT INVESTIGATING COMMITTEE
The Membership Applicant Investigating Committee shall take all practical means to determine the character and qualifications of applicants for membership, and their devotion to wildlife conservation, to the field, stream, and shooting sports, and to the right of responsible citizens to possess and use smallarms for recreations and self-defense. The Committee shall recommend acceptance or rejection of applicants in a scheduled Members Meeting.
ARTICLE XIV - AUDITING COMMITTEE
The Auditing Committee shall semiannually examine the accounts of the Financial Secretary and the Treasurer, and present a written report to the next Officers Meeting and to the following Members Meeting.
ARTICLE XV - Law and Legislative Committee
The Law and Legislative Committee shall make reasonable effort to be informed regarding changes in, bills proposing changes in, and movements to introduce bills proposing changes in laws - federal, state, and local - affecting the field, stream, and shooting sports, and the right of responsible citizens to possess and use smallarms for recreation and self-defense. The Committee shall alert the membership to such activities, and recommend action thereon by the Club and/or individual members.
ARTICLE XVI - PUBLICITY COMMITTEE
The Publicity Committee shall advertise Club events to which nonmembers are invited, and shall determine and recommend ways to improve the Club's community relations and image, and counter adverse perceptions. The Publicity committee shall be responsible for the printing and distribution of the newsletter.
ARTICLE XVII - CONSERVATION COMMITTEE
The Conservation Committee shall be represented in meetings of appropriate Conservation Councils, and inform the Club of such Councils' activities. The Conservation Committee shall closely observe the actions and proposed actions of the New York State Department of Environmental Conservation which affect fish, game, and forests, and report findings to the Club and recommend action thereon. The Conservation Committee shall endeavor to maintain contact with similar committees of other clubs, toward cooperation in conservation matters.
ARTICLE XVIII - WELFARE COMMITTEE
The Welfare Committee shall be alert to illness, injury, or death of members or their close relatives, reporting same to the Club and sending such expressions of sympathy as the Officers or members direct.
ARTICLE XIX - RANGES COMMITTEE
The Ranges Committee shall oversee the maintenance and operation of indoor and outdoor archery, pistol, rifle, and shotgun ranges, and propose expenditures necessary to maintain and/or improve these facilities; shall organize and obtain Club Officers approval of shooting activities and scheduling; and shall instruct members in the safe and proper use of these facilities and all related equipment, both Club and individually owned. The Ranges Committee shall oversee the organized use of Club ranges and collect and fees levied for such use, as provided in the By-Laws.
ARTICLE XX - HOUSE, and BUILDINGS and GROUNDS COMMITTEES
The House Committee shall be responsible for scheduling use of the Clubhouse and Grounds, including rental thereof, and for maintaining Clubhouse supplies and equipment. The Buildings and Grounds Committee shall be responsible for maintenance of the Clubhouse and grounds, including the scheduling and conducting of the required Club Work Days; for the continuous inspection of the buildings and grounds for needed maintenance and repair, and for reporting the same to the Club Officers and members.
ARTICLE XXI -- MEMBERSHIP and DUES
Section 1. Application for membership may be made by any person of good character who has attained 18-years of age, who can demonstrate sufficient devotion to conservation of natural resources, to the field, stream, and shooting sports, and to the right of each responsible citizen to possess and use smallarms for recreation and self-defense. The application must bear the signatures of three members who are in 12-months good standing. The completed application, together with one year's dues and applicable fees and taxes, shall be referred to the Membership Applicant Investigating Committee for inquiry into the applicant's suitability for membership, as described above. After recommendation of the Committee in a scheduled Members Meeting, the members present shall vote on acceptance. Three-quarters of those present must vote "Aye" for the applicant to be accepted into membership. Accepted applicants shall be inducted into membership in the next membership Meeting in which they are present. The amount of dues, fees, and taxes, as set by the By-Laws and State Laws, shall be stated on the application form together with any required initiation duties.
Section 2. A member-in-good-standing for not less than five consecutive years, who is disable or has attained the age of 65 years, may request membership free of dues. Approval of such request must be by unanimous vote of the Club Officers present in the scheduled Officers Meeting subsequent to receipt of the request. Said "dues-free" members shall, however. Pay such special assessments as are levied on the Club membership. "Dues-free" members who have, regardless, tendered the dues amount to the Club as a contribution may, if they wish, have said dues amount applied to such special assessment(s).
Section 3. There shall be a maximum of 200 members enrolled in the Club at any one time. Applicants who would exceed this number shall be kept "on file" awaiting an opening on the rolls (Note: Please see amendments to this clause attached at the end of this document).
Section 4. Special assessments on the Club membership must be for stated purpose(s), must be proposed in a scheduled Member Meeting and announced in the subsequent newsletter, and approved by majority vote in the next scheduled Members Meeting or advertised Special Meeting. The assessed funds must be used for the stated purpose(s).
Section 5. Club Officers, meeting in special confidential session, shall have the power to levy fines, work assignments, suspension of privileges, and/or expulsion from membership as provided in the By-Laws, as penalty for violation of the Club's Constitution, By-Laws, or Rules.
ARTICLE XXII -- APPROPRIATIONS and EXPENDITURES
All appropriations or expenditures of Club monies in excess of $25.00, other than routine payments such as telephone and utilities bills and the cost of the newsletter, shall require a majority vote of members present in a scheduled Members Meeting, or a Special Meeting called as provided in the By-Laws. On a vote of approval, the Recording Secretary shall provide the Treasurer with a written order for the expenditure.
If the meaning or intent of any part of this Constitution is questioned, the Club Officers, after due deliberation shall, by consensus, provide the official interpretation. This Constitution may be amended through the following procedure only:
- A proposed amendment may be offered in writing over the signature(s) of any Officer(s) of the Club or of five members in 12-months good standing. The proposed amendment shall be presented as "New Business" in the next scheduled Members Meeting, being read by the Recording Secretary, who shall attach it to the official journal of meetings. A precis of the proposal shall be published in the next newsletter.
- In the next scheduled Members Meeting, the Recording Secretary shall again read the proposed amendment as "Unfinished Business." The proposal shall then be discussed and revised as required by majority vote. The revised proposal shall be published verbatim in the newsletter.
- In the next Members Meeting, the revised proposed amendment shall again be read, discussed, and revised as required by majority vote, as "Unfinished Business." This version shall be considered to be the final form. It shall be published in the next newsletter together with notice that it will be voted on in the next Members Meeting.
- A two-thirds majority of members-in-good-standing, present and voting, shall be required for adoption of the proposed amendment.
- A rejected proposed amendment, and any revision thereof which is not substantially different, in the opinion of the Club Officers, may not be introduced within nine months of the date of rejection.
- Should revision of the whole, or major part of the, Constitution be desired or proposed, the President shall appoint a committee of five members in 12-months good standing to prepare the document. Said committee shall be composed of the Recording Secretary as Chairperson, two other Club Officers, and two non-Officer members-in-good-standing. Those appointed shall be selected as representing opposing views of the relevant controversial issues and of the Club activities overseen by the Ranges Committee. Procedures shall be those described in items 1. through 5. of this Article, except that copies distributed to all members present in Members Meeting shall take the place of complete reading by the Recording Secretary and publishing of the test in the newsletter, and the time of discussion and revision shall be up to four successive Members Meetings, if necessary, rather than two.

BY-LAWS
Section 1. Regularly scheduled meetings of the Club Officers shall begin at 8:00 p.m. on the Wednesday preceding scheduled Members Meetings, which shall begin at 8:00 p.m. on the fourth Monday of each month, except during June and July when on Special Meetings may be called. When a scheduled meeting would fall on a legal holiday, both meetings shall be scheduled one week earlier. Committee meetings may be scheduled as their members desire.
Section 2. A Special Meeting, to deal with a single, clearly defined issue, may be called by the President once each three months, and/or otherwise by written request of five members in good standing. Business other than that for which the meeting is called shall not be transacted except by unanimous consent of the members present.
Section 3. Ten Officers shall constitute a quorum for Officers Meetings. Ten members-in-good-standing, of whom at least five must not be the Club Officers, shall constitute a quorum for Members meetings. Each meeting shall be called to order at the designated time and if a quorum is not present be postponed for 30 minutes, then called to order again. If a quorum is still not present the meeting shall be adjourned with only informal discussion of Club affairs allowed to follow.
Section 4. The order of business shall be as follows.

Section 6. Meetings shall be conducted in conformance to the current version of "Roberts Rules of Order," but such "Rules" shall not supercede provisions of the Club Constitution or By-Laws.
ARTICLE II -- ELIGIBILITY FOR OFFICE
Any member in 12-months good standing who has attained the age of 21 years, and has no conviction of violation of law other than minor traffic offenses, shall be eligible for Club offices.
ARTICLE III - MEMBERSHIP ROLLS
The names of all members shall be placed upon the rolls in this order: President, First Vice President, Second Vice President, Treasurer, Financial Secretary, Recording Secretary, Corresponding Secretary, Sergeant at Arms, Three-year Directors, One-year Directors, Members of Standing Committees, and in alphabetical order, all other members.
Annual dues, fines, and assessments which do not have their own due date, are payable before January 1 of the dues year. Members in arrears on April 1 of that year shall be removed from the rolls and all membership privileges revoked. Readmission to membership shall require payment of the arrears together with another initiation fee, and majority vote of members in a schedule Membership Meeting (Note: Please see amendments to this clause attached at the end of this document).
ARTICLE V - TERMINATION OF MEMBERSHIP
Section 1. Any member who withdraws from membership while in good standing shall be readmitted without again paying the initiation fee or performing the initiation project. Any member-in-good-standing who departs for active duty in a military service of the United States shall be excused from paying Club dues, fees, and assessments until 90 days after honorable discharge from that service.
Section 2. No member shall be expelled, or otherwise punished, for violation of the Club's Constitution, By-Laws, or Rules except through due process, as described in Article VI of these By-Laws.
ARTICLE VI -- DISCIPLINARY ACTIONS
Section 1. Penalties for violation of the Constitution, By-Laws, or Club Rules may take the form of special work assignments, fines, suspension of membership privileges, expulsion from membership, and any combination thereof. The penalties of work assignment, suspension of privileges for up to 90 days, and fines up to the equivalent of one years dues may be levied by a simple majority vote of at least a quorum of the Club Officers. Heavier fines, longer suspensions, and expulsion from membership shall require a three-quarters vote of all serving Club Officers.
Section 2. All allegations of violations, including disorderly conduct other than during Club meetings, will be investigated by the Club Officers through the following procedure.
- A written statement of the allegation, which shall state the rule(s) violated, by whom, where, when, and in whose presence, shall be given to the Recording Secretary, who will present it as "New Business" at the next scheduled or special Officers Meeting.
- After sufficient discussion of the allegation, a motion may be made to formally investigate the matter. A simple majority vote shall carry the motion.
- If an investigation is voted, the Corresponding Secretary shall notify the accused by Certified Mail, Return Receipt Requested, to appear before the Club Officers in confidential session on a specified date to give testimony on the matter. Said notification shall include the warning that failure to appear, unless excused by the presiding officer shall be grounds for expulsion from membership. The Officers shall hear testimony of witnesses prior to the appearance of the accused.
- The accused shall be informed of the nature of the investigation and allowed to make a statement before being asked to respond to a list of pertinent questions prepared in advance, and to questions from individual Club Officers. The accused shall then be excused while the Officers deliberate on guilt or innocence, and the penalties, if any, to be levied in accordance with Section 1. of this Article. The Corresponding Secretary shall notify the accused , via Certified Mail, of the disposition of the case.
- The Club Officers may, by majority vote, order the violation, the name of the accused member, whether found guilty or innocent, the penalty applied, if any, to be published in the Club newsletter.
Section 1. Any Director who is absent from three consecutive Officer Meetings is automatically dismissed from office. Any other Club Officer who is absent from three consecutive Officers or Members Meetings, but not a combination thereof, is automatically dismissed from office.
Section 2. Club keys, lock combinations, and clubhouse access codes shall not be provided to a non-member. A member's Clubhouse access code shall be held confidential by the Financial Secretary and the members who program the security system, and divulged only to Club Officers when such information is necessary to an investigation of breach of security or violation of Club rules.
Section 3. Four days each year shall be designated "Club Work Days," for the purpose of maintaining and repairing the buildings, grounds, and equipment. The date of each Work Day shall be published in the preceding newsletter and announced in meetings. Each dues-paying member is required, as a condition of membership, to fully participate in at least one such Work Day each dues year, or pay a fine equal to one year's dues. Said fine shall be paid by April 1 next to maintain good standing. With approval of a majority of other Officers, the President may assign specific work equivalent to individual members in lieu of the Work Day requirement. Club Officers who fulfill the responsibilities of their respective offices, as set forth in the Constitution, shall be considered as having met the Work Day requirement. The Officers may, if necessary, schedule more than four such Work Days in a year, but this shall not increase the members individual Work Day requirement.
Section 4. A member may have no more than two guests at a time on any of the Club's ranges. A member may have no more than nine guests at a time in any other Club facility, except when the member has rented the Clubhouse and/or grounds. The spouse and/or children of a member may accompany the member in use of Club facilities at any time that those facilities are open for use, except in meetings. They must, however, pay any fees required for participation in such activities. Members must remain with their guests at all times, and enforce Club Rules and good order; members are personally responsible for the actions of their guests. Members must identify their guests by name in the Club sign-in book, and may not have the same person as a guest more than four times in any 12-month period, unless that person has a membership application on file. Guests, including a member's spouse and children must give precedence to members in any Club facility/activity except when they are part of a group which has rented the facility.
Section 5. Within 30 days of the meeting in which a new member is inducted, that member shall complete an initiation project as assigned by the President in consultation with the Chairpersons of the several Standing Committees.
Section 6. Fees levied for use of the Club ranges shall be collected by the member of the Ranges Committee who represents the pertinent activity, or by a member-in-good-standing designated by said Committee member, with the approval of Club Officers. Such fees shall be promptly transferred to the Treasurer, except that monies collected in excess of the activity's cost to the Club may be reserved for such purposes as trophies, award dinners, and activity related materials. The Chairpersons of activities in which non-members participate for a fee, shall report the finances of the activities in the next Members Meeting. Such Chairperson shall, before each November 15, tender a written annual report to the Club Rangemaster, who will verbally report each in the November Members Meeting before filing the written reports with the Treasurer.
Section 7. The President, Financial Secretary, and Treasurer, in consultation with the Ranges Committee and such other members as may be helpful, shall prepare a projected annual budget, and present it in the December Members Meeting. The budget, which shall not be binding, shall list expected routine and special expenditures and the source or tentative source of funding of each.
Section 8. Annual dues shall be $50.00. The initiation fee shall be $35.00. New York State sales tax is applicable (Note: Please see amendments to this clause attached at the end of this document).
Section 9. (Note: Please check the amendments to the Constitution and By-Laws for the introduction of a new clause here).
These By-Laws may be amended through the following procedure.
- Any members in 12-months good standing may propose amendment of these By-Laws as "New Business" in any scheduled Members Meeting. The proposed amendment shall be read by the Recording Secretary and attached to the official journal of meetings. The proposal shall be discussed, then tabled until the next Members Meeting after it has been published in the newsletter.
- The proposed amendment shall be read and discussed as "Unfinished Business" at that subsequent Meeting, and revised as required by majority vote. The resulting version shall be published in the next newsletter, then read, discussed, and voted upon at the next Members Meeting. A two-thirds majority of those present and voting shall effect passage.
- A rejected proposed amendment, or a revision which in the opinion of the Club Officers is not substantially different, shall not be submitted within nine months of the date of rejection.
- Should revision of the whole, or major part of the, By-Laws be desired or proposed, the President shall appoint a committee of five members in 12-months good standing to prepare a document. Said committee shall be composed of the Recording Secretary as Chairperson, two other Club Officers, and two non-Officer members. Those appointed shall be selected as representing opposing views of the relevant controversial issue(s), and of the Club activities overseen by the Ranges Committee. Procedure shall be that described in items 1. through 3. of this Article, except that copies of the proposal distributed to members in attendance shall take the place of readings by the Recording Secretary and publishing of the text in the newsletter.

Effective February 24, 1997, Article XXI, Section 3, of the Constitution reads:
There shall be a maximum of 200 dues-paying members enrolled in the Club at any time. Dues-free members, including those on active military duty, shall be in excess of this number; the latter assuming the first opening in the rolls subsequent to honorable discharge or reserve status.
Effective January 1, 1997, Article VII, Section 8, of the By-Laws reads:
Annual dues shall be $50.00. The initiation fee shall be $35.00.
Effective January 1, 1997, Article VII of the By-Laws includes a new Section 9, which reads:
Section 9. Each member of the Club shall complete a Shooting Safety Refresher Course authorized by the Club's Officers. Failure to do so within the specified time period shall result in loss of rights to use the Club's archery, handgun, rifle, and shotgun ranges, but shall not otherwise affect the member's "Good Standing." Other members shall not sponsor as a guest any member whose range privileges are thus suspended. New members may use the ranges as guests of their sponsors until they complete the Course, but shall not be counted among the two guests which a member may host at a time. Assignment of each member to a specific session of the Course will be made by the Club Rangemaster. Assignment to an alternate session will be made, when possible, if a member reports in advance an inability to participate on the assigned date. Club Officers may, on appeal, extend the time period for completion of the Course if they judge that circumstances warrant.
Effective January 1, 2000, Article VII, Section 8, of the By-Laws reads:
Annual dues shall be $60.00. The initiation fee shall be $35.00.
Effective January 1, 2006, Article IV, of the By-Laws reads:
Annual dues, fines, and assessments which do not have their own due date, are payable before January 1 of the dues year. Members in arrears on February 1 of that year shall be removed from the rolls and all membership privileges revoked. Readmission to membership shall require payment of the arrears together with another initiation fee, and majority vote of members in a schedule Membership Meeting.
